These Terms of Service ('Terms') govern your access to and use of the Dropoff platform, operated by Dropoff Limited ('Dropoff', 'we', 'us', or 'our'). Please read them carefully. By creating an account or using any part of the platform, you agree to be bound by these Terms.
Acceptance of Terms
By accessing or using the Dropoff platform — including the website at dropoff.africa, the web application, APIs, and any related services — you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the platform. These terms apply to all users, including operators, agents, and customers.
Description of Services
Dropoff provides a logistics software platform that enables:
- Operators to manage booking flows, agent networks, shipment tracking, and fulfilment operations.
- Agents to create branded booking pages, set customer-facing pricing, and earn from logistics sales.
- Customers to book shipments through agent pages and track their packages in real time.
Dropoff is a technology platform. We do not operate as a carrier, freight forwarder, or logistics company. Physical shipment fulfilment is the responsibility of the operator. Dropoff provides the software infrastructure that connects operators, agents, and customers.
Eligibility and Registration
To use the Dropoff platform you must:
- Be at least 18 years of age.
- Be capable of entering into a legally binding agreement under Nigerian law.
- Provide accurate, complete, and current registration information.
- Maintain the security of your account credentials and notify us immediately of any unauthorised access.
You are responsible for all activity that occurs under your account. Dropoff reserves the right to refuse registration or terminate accounts at its discretion, including where we have reason to believe information provided is false or misleading.
Operator Terms
Operators are approved logistics businesses that access Dropoff to manage their network. As an operator, you agree to:
- Only use the platform for legitimate logistics operations.
- Set fair and lawful base rates for your agent network.
- Ensure that agents onboarded under your account are informed of the terms governing their use of the platform.
- Be responsible for the physical fulfilment of shipments booked through your network.
- Maintain sufficient funds or credit to cover platform fees where applicable.
- Not use the platform to circumvent Dropoff's fee structure or misrepresent your operation.
Dropoff does not guarantee shipment volumes, agent activity, or revenue outcomes. Platform access is month-to-month unless otherwise agreed in writing.
Agent Terms
As a agent, you agree to:
- Maintain a funded Dropoff wallet sufficient to cover booked shipments at the base rate set by your operator.
- Only book shipments for legitimate, lawful goods. You are responsible for ensuring the contents of shipments booked through your page comply with applicable laws.
- Accurately represent shipment details (weight, dimensions, contents) when booking.
- Not misuse your booking page to accept payments without intending to fulfil the corresponding shipment.
- Ensure customers are directed to the correct collection point (Dropoff hub or operator-designated location).
Dropoff does not guarantee fulfilment timelines. Timelines are the responsibility of the operator under whose network you operate.
Wallet and Payments
Agents are required to pre-fund a Dropoff wallet before taking bookings. The following terms apply:
- Wallet funds are deducted automatically at the operator-set base rate when a booking is confirmed.
- Wallet top-ups are non-refundable except where a booking is cancelled before fulfilment, in which case the deducted amount is returned to the wallet.
- Dropoff is not a payment service provider. Wallet management is a platform feature and does not constitute a bank account or stored-value account under Nigerian financial law.
- Operators are responsible for setting and communicating their refund and cancellation policies to agents.

Prohibited Uses
You may not use the Dropoff platform to:
- Ship prohibited goods including but not limited to: weapons, controlled substances, counterfeit products, hazardous materials, or any goods illegal under Nigerian federal or state law.
- Engage in fraud, misrepresentation, or any deceptive practice.
- Attempt to reverse-engineer, scrape, or copy any part of the platform.
- Interfere with or disrupt the platform's infrastructure or other users' access.
- Use automated tools to create accounts, generate bookings, or manipulate platform data.
- Violate any applicable Nigerian or international law.
Violation of these prohibitions may result in immediate account suspension and referral to relevant authorities.
Intellectual Property
All content, software, trademarks, logos, and other intellectual property on the Dropoff platform are owned by or licensed to Dropoff Limited. You are granted a limited, non-exclusive, non-transferable licence to access and use the platform for its intended purposes. You may not reproduce, distribute, modify, or create derivative works from any part of the platform without our express written permission.
Limitation of Liability
To the maximum extent permitted by Nigerian law, Dropoff shall not be liable for:
- Loss or damage to shipments during transit. Responsibility for physical fulfilment lies with the operator.
- Indirect, incidental, or consequential losses arising from your use of the platform.
- Platform downtime, data loss, or service interruptions, except where caused by our gross negligence or wilful misconduct.
- Actions or omissions of operators, agents, or third-party service providers.
Our total liability to you for any claim arising from your use of the platform shall not exceed the amount you have paid to Dropoff in the 90 days preceding the claim.
Termination
You may terminate your account at any time by contacting us. Dropoff may suspend or terminate your account immediately and without notice if you breach these terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to access the platform ceases immediately. Wallet balances at the time of termination will be handled in accordance with our refund policy. Sections of these terms that by their nature should survive termination (including limitation of liability, intellectual property, and governing law) will continue to apply.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or relating to these terms or your use of the Dropoff platform shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria. Nothing in this clause limits your statutory rights under applicable Nigerian consumer protection law.
Changes to These Terms
We may update these Terms of Service at any time. When we make material changes, we will notify you by email or via a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of Dropoff after the effective date constitutes your acceptance of the revised terms. If you do not agree to the updated terms, you must stop using the platform before the effective date.
